Terms of Service
Last updated: 2026-10-27
1. Acceptance
These Terms of Service (the "Terms") are a binding agreement between Carmen Marlet Fregoso Rodríguez, an individual with business activity registered under Mexico's Simplified Trust Regime (RESICO), who operates the service under the "Aroa Wallet" brand ("Aroa", "we", "us"), and the individual or business that subscribes to the service (the "Tenant", "you", the "Customer"). By paying for a subscription, completing sign up or using the platform, you accept these Terms.
If you do not agree with any part of these Terms, do not use the service.
2. The Service
Aroa Wallet is a multi-tenant software as a service platform that lets the Tenant run a loyalty program for its own customers with digital cards issued in Apple Wallet and Google Wallet. It includes an admin dashboard, signed digital passes, push notifications and analytics tools.
The features you get depend on your plan (Starter, Pro, Business or Enterprise). The current description is at wallet.aroagroup.com/en.
3. Account and Access
To use the service, the Tenant signs up with a valid email address and completes payment through Stripe. Aroa creates the Tenant's account after the first successful payment.
The Tenant is responsible for keeping the credentials of its authorized users (owner and staff) secure. Any activity from its account is considered authorized by the Tenant.
The Tenant can invite members of its staff. The roles are:
- Owner: full control, including settings, billing and staff management.
- Staff: can only add stamps and redeem rewards; cannot change settings.
4. Billing and Payments
Subscriptions are monthly or annual, as chosen at sign up. Payments are processed by Stripe (a PCI DSS certified provider). Aroa does not store card details.
Accounts in the United States are billed in U.S. dollars (USD). Prices do not include sales or use taxes; if Aroa is required to collect tax in your state, it will be shown at checkout before you pay. Accounts in Mexico are billed in Mexican pesos (MXN) and prices do not include the 16% VAT (IVA), which is itemized on each invoice.
Your subscription is charged when you sign up. Unless you received a promotional code that says otherwise, there is no free trial; the first charge happens when you complete sign up.
Automatic renewal: your subscription renews automatically at the end of each monthly or annual period, at the price in effect at that time, until you cancel. You can cancel at any time from the billing portal in your dashboard.
Mexican tax invoices (CFDI 4.0, Mexico accounts only): when you request an invoice with your RFC and tax use in the dashboard, Aroa issues the CFDI within 10 business days after month end. Changes to RFC, legal name or tax use must be reported before the last day of the invoiced month.
5. Cancellation and Refunds
The Tenant can cancel the subscription at any time from the billing portal. Cancellation takes effect at the end of the paid period: the service keeps working until that date and the next period is not charged.
There are no prorated refunds for partial periods already started, except:
- A failure caused by Aroa that prevents use of the service for more than 72 consecutive hours.
- A duplicate or incorrect charge reported within 30 days of the charge date.
- Where a refund is required by the consumer protection laws that apply to you.
After cancellation, the passes issued to your customers stay active only for the rest of the paid period. After that they stop receiving updates.
6. Ownership of Tenant Data
The personal data of the Tenant's customers (name, phone, email, stamp and reward history) belongs to the Tenant. Aroa acts as a data processor on the Tenant's behalf under Mexican law (LFPDPPP) and as a service provider under U.S. state privacy laws such as the California Consumer Privacy Act (CCPA).
Aroa does not use, sell, share or transfer this data to third parties for marketing, advertising or model training. It only processes it to run the service the Tenant subscribed to.
When the relationship ends, the Tenant may export its data (CSV or JSON) for 30 calendar days after cancellation. After that, Aroa deletes the Tenant's data from its systems, except what the law requires us to keep.
7. Acceptable Use
The Tenant agrees not to:
- Use the service for illegal purposes or to violate the rights of others.
- Upload logos, images or copy that infringe the intellectual property of others.
- Collect customer data without informed consent.
- Send marketing text messages to its customers without the consent required by law, including the U.S. Telephone Consumer Protection Act (TCPA). Aroa does not send marketing text messages on the Tenant's behalf.
- Reverse engineer, scrape at scale, brute force or take any action that compromises the security or availability of the service.
- Resell access to its account or sublicense the service without Aroa's written authorization.
- Create fake, manipulated or test passes or stamps in production as a misleading sales tactic toward its customers.
Aroa may suspend or terminate the service with 5 calendar days' notice if it detects misuse, except in critical cases (security, fraud, a government order) where suspension is immediate.
8. Availability and SLA
Aroa aims for 99.5% monthly availability, measured over the whole month excluding scheduled maintenance announced 48 hours in advance.
The Enterprise plan can add a 99.9% SLA under a separate agreement.
Aroa is not responsible for failures caused by Apple, Google, Stripe, Supabase, Vercel or other third party providers needed to run the service. Aroa will make reasonable efforts to mitigate incidents.
9. Intellectual Property
Aroa keeps all rights to the software, trademarks, code, design and documentation of Aroa Wallet. The Tenant receives a non exclusive, non transferable license to use it for as long as the subscription lasts.
The logo, branding and content uploaded by the Tenant remain the Tenant's property. The Tenant grants Aroa a limited license to display them inside the service and to operate it (rendering passes, storing files on a CDN).
10. Limitation of Liability
To the maximum extent permitted by law, Aroa's total cumulative liability to the Tenant for any claim related to the service will not exceed the amount the Tenant actually paid in the twelve (12) months before the event that gave rise to the claim.
Aroa is not liable for indirect damages, lost profits, lost business opportunities or consequential damages, even if Aroa was advised of their possibility.
This does not limit Aroa's liability for fraud, gross negligence, death or personal injury, or any other liability that cannot be waived under applicable law.
11. Indemnification
The Tenant agrees to hold Aroa harmless from any third party claim (including from the Tenant's customers) arising from:
- Use of the service by the Tenant or its staff in breach of these Terms.
- Content uploaded by the Tenant (logos, copy, rewards) that infringes the rights of others.
- Lack of informed consent when collecting customer data.
- The Tenant's failure to meet its obligations as the party responsible for its customers' data under the privacy laws that apply to it.
12. Changes to these Terms
Aroa may update these Terms. Material changes are emailed to the owner at least 30 days in advance. If the Tenant does not accept the changes, it can cancel without penalty before they take effect.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Mexico. For any dispute, the parties submit to the competent courts of Zapopan, Jalisco, Mexico.
This does not affect any rights you have under the consumer protection laws that apply to you.
